End-User License Agreement (EULA)

406CG grants you a non-exclusive, non-transferable, limited, revocable license to use the Software solely in connection with accounting, bookkeeping, tax preparation, and financial advisory services provided to you by 406 Consulting Group. This license is limited to your authorized QuickBooks Online company file(s) and does not extend to any third party.

The Software is licensed, not sold. 406 Consulting Group retains all right, title, and interest in and to the Software, including all copyrights, trade secrets, and other intellectual property rights. You shall not reverse-engineer, decompile, modify, redistribute, sublicense, or resell the Software or any component thereof.

• OAuth 2.0 Authorization: The Software integrates with Intuit's QuickBooks Online API via secure OAuth 2.0 protocols. To function, you must explicitly authorize the Software to access your QuickBooks Online company data. • Scope of Access: The Software will only access the QuickBooks Online data necessary to perform the accounting, bookkeeping, tax, and advisory services agreed upon between you and 406 Consulting Group. This may include customer records, vendor records, transactions, invoices, payments, payroll data, reports, and chart of accounts information. • Credential Security: OAuth tokens are stored securely using industry-standard encryption. The Software does not store, request, or have access to your Intuit account password. • Revocation: You may revoke the Software's access to your QuickBooks Online data at any time through your Intuit account settings or by contacting 406 Consulting Group directly.

The Software is intended solely for use by 406 Consulting Group clients in connection with professional services provided by 406CG. You agree to: • Use the Software only for lawful purposes and in compliance with Intuit's Terms of Service • Not use the Software to exceed standard API rate limits or interfere with Intuit's services • Provide accurate and complete information when authorizing the connection • Notify 406CG promptly if you believe your authorization has been compromised

All data accessed through the Software is handled in accordance with our Privacy Policy (available at https://406consultinggroup.com/privacy-policy). Key principles: • Your QuickBooks data is accessed solely to provide professional services to you • Data is processed and stored on secure, encrypted infrastructure (Amazon Web Services) • We do not sell, lease, rent, or trade your financial data to any third party • Data retention follows our professional obligations and your service agreement

The Software depends on the availability of Intuit's QuickBooks Online API and Amazon Web Services infrastructure. 406CG does not guarantee uninterrupted access and is not liable for downtime caused by third-party service providers, scheduled maintenance, or circumstances beyond our reasonable control.

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 406 CONSULTING GROUP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. The Software is a tool that assists in the delivery of professional accounting and advisory services. It does not replace professional judgment, and all tax positions, financial decisions, and advisory recommendations are made by qualified professionals at 406 Consulting Group.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL 406 CONSULTING GROUP BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF BUSINESS PROFITS, DATA LOSS, OR SYSTEM DOWNTIME) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 406CG's total liability under this Agreement shall not exceed the fees paid by you to 406 Consulting Group for professional services during the twelve (12) months preceding the claim.

This license is effective until terminated. Either party may terminate this Agreement: • You may terminate by revoking the Software's access to your QuickBooks Online account through your Intuit settings and notifying 406CG in writing. • 406CG may terminate if you breach any term of this Agreement, if your service agreement with 406CG ends, or upon thirty (30) days written notice. Upon termination, the Software will cease accessing your QuickBooks Online data. Data already processed in connection with professional services will be retained in accordance with our professional obligations and data retention policies.

406CG may update, modify, or enhance the Software from time to time. Continued use of the Software after such changes constitutes acceptance of the updated terms. Material changes to this EULA will be communicated to you via email or through the Software interface.

This Agreement shall be governed by and construed in accordance with the laws of the State of Montana, without regard to conflict of law principles. Any dispute arising under this Agreement shall be resolved exclusively in the state or federal courts located in Flathead County, Montana.
